MaishaOS Terms of Service

1. AGREEMENT TO TERMS

Welcome to MaishaOS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Stadi Consulting ("we," "us," "our") regarding your use of MaishaOS, our personal life optimization platform.

By accessing or using MaishaOS, you agree to:

• Be bound by these Terms
• Comply with our Privacy Policy
• Accept responsibility for your account activity
• Use the service lawfully and responsibly

If you disagree with any part of these Terms, you must not use MaishaOS.

Eligibility

You must be at least 18 years old to use MaishaOS. By using the service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement.

2. SERVICE DESCRIPTION

What MaishaOS Provides

MaishaOS is a comprehensive personal life optimization platform that helps you:

• Track and build habits scientifically
• Record voice journals with AI-powered insights
• Receive personalized daily briefings
• Integrate with productivity tools (Google Calendar, ClickUp)
• Visualize life patterns and progress
• Develop systematic awareness and sustainable behaviors

Service Evolution

We continuously improve MaishaOS and may:

• Add new features and functionality
• Modify or discontinue existing features
• Update the user interface and experience
• Integrate with additional third-party services

We will notify you of significant changes, but we reserve the right to make improvements without prior notice.

Service Availability

While we strive for 99.9% uptime, we cannot guarantee uninterrupted service. Maintenance, updates, or technical issues may temporarily affect availability. We are not liable for service interruptions beyond our reasonable control.

3. ACCOUNT REGISTRATION & SECURITY

Account Creation

Required Information:

• Valid Google email address
• Basic profile information (name, age, gender)
• Acceptance of these Terms and Privacy Policy

Your Responsibilities:

• Provide accurate and complete information
• Keep your account credentials secure and confidential
• Notify us immediately of unauthorized access
• Maintain only one personal account

Account Security

You are responsible for:

• All activity that occurs under your account

We will never:

• Ask for your password via email or phone
• Share your credentials with third parties
• Access your account without permission (except for support or legal reasons)

Account Termination

You may terminate your account at any time by:

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse or harass our staff or other users
• Attempt to compromise system security

Upon termination, your data will be deleted according to our Privacy Policy retention periods.

4. USER CONTENT & DATA

Your Content Ownership

You retain all ownership rights to:

• Voice recordings and journal entries
• Goals, habits, and personal data you create
• Any content you upload or generate in MaishaOS

You grant us a limited license to:

• Store and process your content to provide services
• Use aggregated, anonymized data for service improvement
• Display your content back to you in the app
• Backup your data for disaster recovery

This license terminates when you delete content or close your account.

Content Guidelines

Prohibited Content: You may not use MaishaOS to create, store, or share content that:

• Violates laws or regulations in Kenya or your jurisdiction
• Infringes intellectual property rights
• Contains malware, viruses, or harmful code
• Promotes violence, hatred, or discrimination
• Exploits or harms minors
• Violates others' privacy or dignity

Consequences of Violation:

• Content removal without notice
• Account suspension or termination
• Reporting to authorities when legally required
• Legal action for damages incurred

Data Backup Responsibility

While we maintain regular backups, you are responsible for:

• Keeping copies of critical data

We are not liable for data loss due to your actions, technical failures, or force majeure events.

5. THIRD-PARTY INTEGRATIONS

Authorized Integrations

MaishaOS integrates with third-party services including:

• Google (Calendar, Drive)
• ClickUp

Your Responsibilities

When connecting third-party services:

• You authorize data sharing between MaishaOS and those services
• You must comply with the third party's terms of service
• You are responsible for maintaining those account credentials
• You can revoke access at any time through settings

Our Responsibilities

We commit to:

• Using integrations only for stated purposes
• Securing credentials and access tokens
• Providing clear information about data flows
• Allowing you to disconnect services anytime

Third-Party Limitations

We are not responsible for:

• Third-party service failures or data breaches
• Changes to third-party APIs or terms
• Loss of functionality due to third-party changes
• Third-party data handling practices (see their privacy policies)

6. INTELLECTUAL PROPERTY RIGHTS

MaishaOS Ownership

We own all rights to:

• MaishaOS software, code, and algorithms
• User interface design and visual elements
• AI models and recommendation systems
• Brand names, logos, and trademarks
• Documentation and training materials

Limited License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use MaishaOS for personal purposes

You may not:

• Copy, modify, or reverse engineer MaishaOS
• Sell, rent, or sublicense access to the service
• Remove copyright or proprietary notices
• Create derivative works or competing products
• Use automated tools to scrape or extract data
• Access the service through unauthorized means

Feedback & Suggestions

If you provide feedback, ideas, or suggestions about MaishaOS:

• You grant us unlimited rights to use them
• We are not obligated to implement them
• We may use them without compensation or attribution
• They become our property upon submission

7. AI & AUTOMATED PROCESSING

How We Use AI

MaishaOS uses artificial intelligence to:

• Transcribe and analyze voice journal entries
• Generate personalized habit recommendations
• Create daily briefings and insights
• Identify patterns in your behavior and beliefs
• Suggest optimal actions and priorities

AI Limitations & Disclaimers

Important Understanding:

• AI insights are suggestions, not professional advice
• Recommendations are based on patterns, not guaranteed outcomes
• AI may occasionally produce inaccurate or incomplete analysis
• You maintain full decision-making authority

We do not guarantee:

• Accuracy of all AI-generated insights
• Achievement of goals through our recommendations
• Suitability of suggestions for your specific situation

Your AI Rights

You can:

• Opt out of AI analysis features
• Request human review of automated decisions
• Correct inaccurate AI interpretations
• Export raw data without AI processing

8. DISCLAIMERS & LIMITATIONS

Service Disclaimers

MaishaOS is provided "as is" and "as available" without warranties of any kind, including but not limited to:

• Specific results or goal achievement
• Compatibility with all devices or services
• Accuracy of insights or recommendations
• Suitability for your particular needs

Not Professional Advice

MaishaOS is NOT:

• Medical, psychological, or mental health treatment
• Financial or investment advice
• Legal, tax, or professional consultation
• A substitute for licensed professional services

Always consult qualified professionals for:

• Mental health concerns or crises
• Medical symptoms or health decisions
• Financial planning or investment decisions
• Legal matters requiring professional judgment

9. LIABILITY LIMITATIONS

We are not liable for:

• Indirect, incidental, or consequential damages
• Lost profits, data, or business opportunities
• Emotional distress or personal injury
• Third-party actions or content
• Force majeure events (natural disasters, war, government actions)

Exceptions to Limitations

These limitations do not apply to:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Violations of consumer protection laws
• Other liability that cannot be excluded by law

10. INDEMNIFICATION

Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless Stadi Consulting, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of third-party rights
• Your content or use of the service
• Your negligence or wilful misconduct

This obligation survives termination of your account.

11. CHANGES TO TERMS

Modification Rights

We may modify these Terms at any time to:

• Reflect changes in law or regulation
• Address new features or services
• Improve clarity or address issues
• Respond to security or technical needs

Notification Process

For material changes:

• Email notification 15 days before effective date
• In-app notification upon next login
• Updated "Last Modified" date at top of Terms

Your Options

After notification, you may:

• Continue using MaishaOS (acceptance of new Terms)
• Reject changes and terminate your account within 30 days
• Contact us to discuss concerns

Continued use after effective date constitutes acceptance.

12. GENERAL PROVISIONS

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stadi Consulting regarding MaishaOS.

Severability

If any provision is found unenforceable, the remaining provisions continue in full force, and the unenforceable provision is modified to reflect the parties' intent.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or future enforcement.

Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights to any affiliate or successor in interest.

Force Majeure

We are not liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

Survival

Provisions that by their nature should survive termination (including ownership, warranties, indemnity, and limitations of liability) shall survive.

Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
